Please read these Terms & Conditions before entering this BIG BREAK MOVIE CONTEST (the “Contest”).

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. You are not required or encouraged to purchase any product or service in order to enter this Contest.

Eligibility: This Contest is open to legal residents of the fifty (50) United States and the District of Columbia who are 18 years of age or older. This Contest is not open to employees or directors of Rogue Life, LLC (“Sponsor”), American Multi-Cinema, Inc., or any of their respective parent companies, affiliates, subsidiaries or advertising and promotion agencies, or members of their immediate families (spouse or parent, child or sibling or their respective spouses, regardless of where they reside) or households, whether or not related. VOID WHERE PROHIBITED. Contest is subject to all applicable federal, state and local laws.

Contest Structure: The Submission Period of this Contest begins at 12:01 p.m. Pacific Time (“PT”) on August 16 and ends at 5:00 pm PT on October 15 (the “Submission Period”). Judging shall be conducted in two rounds. The First Round shall begin at 12:01 pm PT on October 16 and end at 5:00 pm PT on November 21 (the “First Round”). The Finalist Round shall begin at 12:01 pm PT on November 22 and end at 5:00 pm PT on December 19 (the “Finalist Round”).

Submission Period: During the Submission Period, you will need to:
  1. Logon or become a registered member of the (the “Site”) community;
  2. Follow the instructions to enter on the Site for the Contest;
  3. Upload a promotional trailer, sizzle reel or excerpt that is no longer than 120 seconds of your Undistributed (as defined below), original, full-length feature film (“Trailer Submission”) to the BIG BREAK MOVIE CONTEST group on the Site; and
  4. Print your entry form and mail the completed entry form together with a regular format DVD containing your Undistributed, original, full-length (no longer than 90 minutes) feature film (“Feature Submission”) to:

(the Trailer Submission and Feature Submission are hereinafter referred to collectively as the “Submission”).

You must be a registered member of the Site to enter this Contest. Registration is free.

All Submissions must be received and post-marked by the end of the Submission Period at 5:00 p.m. PT on OCT 15. There is no limit to the number of Submissions submitted per person or e-mail address, however, each Submission by the same person or e-mail address should be substantially different than each of that person’s other Submissions, as determined by Sponsor in its sole discretion. Submissions generated by script, macro or other automated means and Submissions by any means which subvert the entry process will be void. All Submissions become property of the Sponsor and will not be returned.

Submission Guidelines: All Trailer Submissions should be in .mpg, .mpeg, .avi, .divx, .mp4, .flv, .wmv, .mov, or .asf format, no larger than 50 MB in size, and no longer than 120 seconds in length. All Feature Submissions should be shot in HD format (720 x 1280 or 1080 x 1920), submitted on a regular DVD format, and no longer than 90 minutes. All Submissions should be in English (or subtitled in English), must be original work, true and verifiable, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. By making a Submission in this Contest, you represent and warrant that you are the sole creator of the film submitted and that you own all right, title and interest in and to, or have the valid right to use, all material contained in your Submission.

To be eligible for this Contest, Submissions should not have been previously broadly commercially distributed or licensed to anyone, anywhere in the world, and no third party shall have any current right to exploit the Submission, in whole or in part, such as television rights or theatrical distribution rights (“Undistributed”).

Submissions should not contain any of the following:
  • stock/file film or photo footage or any footage that is not originally created material without the necessary licenses, rights, releases, consents, and written permissions;
  • patent, trademark, trade secret, copyright or other proprietary rights (including music, audio or video works, and other works of art or images published on or in websites, television, movies or other media) without the necessary licenses, rights, releases, consents, and written permissions;
  • names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or deceased, without the necessary licenses, rights, releases, consents, and written permission;
  • images of any locations or property without the necessary licenses, rights, releases, consents, and written permission;
  • commercial endorsements, advertisements or solicitations;
  • content promoting alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing);
  • content promoting any activities that may appear unsafe or dangerous;
  • content that is obscene or offensive; endorses any form of hate or hate group;
  • content that appears to duplicate any other Submission;
  • content that defames, misrepresents or contains disparaging remarks about other people or companies;
  • content that contains any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses without the necessary licenses, rights, releases, consents, and written permission;
  • content that communicates messages or images inconsistent with the positive images and/or good will to which we wish to associate; and/or
  • content that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate;
  • content that violates any law, or is obscene or inappropriate, as determined by Sponsor in its sole opinion.

The extent to which Sponsor considers the Submission to comply with the above will be considered as a factor by the judges in the First Round and Finalist Round. Sponsor may, but is not obligated to, disqualify any Submission for any reason, in its sole and absolute discretion, including for violating any of the foregoing Submission Guidelines or may instead elect to require that Participant bring its Submission into compliance with the Submission Guidelines in lieu of disqualification. Participant should be able to provide all necessary third party authorizations, consents, releases or written permissions to evidence its compliance with these Submission Guidelines and to grant the rights set forth herein, the Finalist Participation Agreement or to otherwise take part in this Contest, in a form acceptable to Sponsor. If any minor appears in your film, Participant must have his/her parent’s or legal guardian’s written permission to submit the Submission and grant rights under the Finalist Participation Agreement and to grant the rights set forth herein and be able to provide such permission in a form acceptable to Sponsor if requested by Sponsor to do so. Sponsor reserves the right to request clearance and release documents for all third party appearances and third-party content (whether audio or visual) included in the Submission. Any Submission that does not comply with the requirements set forth in these Terms & Conditions or the Finalist Participation Agreement may be disqualified or may be required to become compliant with these requirements before advancing to another round.

By making a Submission, each participant acknowledges and agrees that Sponsor may obtain many Submissions under this Contest and that such Submissions may be similar or identical in theme, idea, format or other respects to others submitted under this Contest and/or through other of Sponsor’s (or any of its affiliates) activities, and waive any and all claims participant may have had, may have, and/or may have in the future, that any similar submission, film, song and/or other works accepted, reviewed and/or used by the Sponsor (or its affiliates or designees) may be similar to participant’s Submission. Participant acknowledges and agrees that the Sponsor does not have now, nor shall it have in the future, any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of any copyright in and to participant’s Submission.

By uploading a Trailer Submission, participant hereby grants permission for the Trailer Submission (as well as the Professional Trailer Cut, as defined herein) to be posted on the Site or other websites. Participant agrees that Released Parties (as defined below) are not responsible for any unauthorized use of Trailer Submission by third parties. Released Parties do not guarantee the posting of any Trailer Submission.

Sponsor has no right to exploit or otherwise use the Submissions except in accordance with these Terms & Conditions or as set forth in the Finalist Participation Agreement, if applicable, and participant shall retain all right, title and interest in and to the Submission unless otherwise agreed.

Participant understands that during the Submission Period, First Round, or Finalist Round, the public may have the opportunity to view and rate its Trailer Submission on the Site, but that audience rating may not be taken into account by the judging committees in selecting the Finalists or Grand Prize Winner.

No Obligation to Proceed: Nothing contained in these Terms & Conditions shall require Sponsor to advance any participant to the next round of this Contest. Upon review of the Submissions, Sponsor may eliminate participant from the Contest in its sole discretion and preclude participant from participating in any other rounds. Sponsor may also require participant to bring the Submission into compliance with any requirements of the Contest, including any guidelines provided by Sponsor. All decisions regarding the Contest, including without limitation, eligibility, participant selection, the acceptability of Submissions and participant elimination, are at Sponsor’s sole and exclusive discretion, and are final and not subject to appeal.

First Round Finalist Selection: During the First Round, Sponsor’s first round judging panel will watch all Submissions and will judge them on the basis of originality, creativity, professionalism, commercial viability, and compliance with the Submission Guidelines. The first round judging committee will select up to five (5) potential finalists (“Finalists”) from among all eligible entries received during the Submission Period to become Finalists and to have Sponsor professionally recut the Finalists’ Trailer Submissions. If the judging committee chooses a Submission as a potential Finalist that Sponsor believes does not comply with the Submission Guidelines, Sponsor may request that such participant bring the Submission into compliance with the Submission Guidelines before advancing such participant to the finalist round. In the event of a tie, an additional tie-breaking judge will determine the Finalists from among such tied Submissions using the judging criteria set forth herein.

Sponsor reserves the right not to select any Finalists if, in its sole discretion, it does not receive a sufficient number of eligible and/or qualified Submissions during the Submission Period. Sponsor reserves the right, in its sole discretion, to disqualify any participant that it finds has tampered with, or has attempted to tamper with, the submission process or the operation of the Contest, or to be in violation of these Terms & Conditions or who has acted in a disruptive or unsportsmanlike manner and void all associated Submissions. Sponsor also reserves the right to conduct a background check (which may include medical or psychological checks) to help ensure that participant’s continued participation in the Contest will not, in Sponsor’s sole discretion, bring Sponsor into disrepute, contempt, scandal or ridicule, or otherwise reflect unfavorable on Sponsor or this Contest. Participant’s Submission to the Contest constitutes participant’s permission for Sponsor to conduct such background check, provided that, to the extent additional authorization is necessary under law, participant shall authorize such check. Sponsor reserves the right (at its sole discretion) to disqualify any entrant based on the results of the background check or failure of the entrant to properly authorize such check. ALL DECISIONS OF SPONSOR AND THE REVIEWING COMMITTEES ARE FINAL AND BINDING.

Finalist Notification: Sponsor will notify the potential Finalists by e-mail, phone or mail. All potential Finalists must execute a “Finalist Participation Agreement” and any other documents required by Sponsor such as liability and publicity releases (except where prohibited) within fourteen (14) days of notification to be eligible for the Finalist Round. Noncompliance with the Finalist Participation Agreement, these Terms & Conditions, any additional documents or other instructions provided to participant may result in disqualification or a request by Sponsor to become compliant. In the event of disqualification, Sponsor may, but is not obligated to, select one or more runners-up as potential Finalists, if the Sponsor elects at its sole and absolute discretion.

Released Parties shall not be liable for (i) failed, returned or misdirected notifications due to inaccurate information provided by a participant, or (ii) responses to notifications which are lost, late, incomplete, illegible, unintelligible, misdirected, damaged or otherwise not received, in whole or in part, by Sponsor. If any Finalist is at least 18 but still considered a minor in his/her jurisdiction of residence, Sponsor may, at its discretion, require his/her parent or legal guardian to execute all required documents on behalf of potential Finalist.

Finalist Round: During the Finalist Round, Sponsor’s Finalist judging committee will review and judge all Professional Trailer Cuts and Finalist Feature Submissions on the basis of originality, creativity, professionalism, commercial viability, and compliance with Submission Guidelines. The Finalist judging committee will select one (1) potential grand prize winner (“Grand Prize Winner”) from all eligible Finalists.

Grand Prize Winner Notification: The potential Grand Prize Winner will be contacted by e-mail, phone, or mail regarding the awarding of the Prize and the creation of the Professional Feature Cut (as defined below) and may be required to promptly execute additional documents requested by Sponsor no more than fourteen (14) days after notice. If the Grand Prize Winner fails to comply with these Terms & Conditions, the Finalist Participation Agreement, or any other additional documents or information provided by Sponsor or is unable to provide adequate assurance that it has obtained all releases and clearances for acceptance of the Grand Prize, in the sole discretion of Sponsor, such Grand Prize Winner may be disqualified and, at the discretion of Sponsor, an alternate Grand Prize Winner may be selected. In the alternative, Sponsor may require the potential Grand Prize Winner to bring him/herself and his/her Submission into compliance with these Terms & Conditions, the Finalist Participation Agreement and any other requirement of Sponsor.

Grand Prize Award: Sponsor will create a final professional cut of the Grand Prize Winner’s Feature Submission (the “Professional Feature Cut”) and will market and distribute the Professional Feature Cut and Professional Trailer Cut (hereinafter referred to collectively as the “Professional Cuts”) in up to fifty (50) select AMC theaters throughout the United States. Creation, production, distribution, and marketing of the Professional Cuts will be subject to the terms of the Finalist Participant Agreement, these Terms & Conditions, and any other additional documents, agreements or any other information or guidelines provided to Grand Prize Winner by Sponsor. No substitution or transfer of prize is permitted. Sponsor reserves the right to substitute a prize with one of comparable or greater value including by awarding cash in lieu of a prize, at its sole discretion. All federal, state and local taxes and fees on prizes and other costs and expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of Grand Prize Winner.

Filmmaker Search Restrictions: By participating in this Contest, you hereby agree to release and hold Sponsor, American Multi-Cinema, Inc. and their respective parent companies, subsidiaries, affiliates and advertising and promotion agencies and all of their respective officers, directors, employees, shareholders, licensees and agents (collectively, “Released Parties”) harmless from any and all claims, liabilities, damages, losses, costs and expenses, including attorneys' fees and costs, arising in whole or in part, directly or indirectly, from your participation in the Contest or any Contest-related activity or acceptance, possession, use or misuse of any prize. You further agree to indemnify, defend, and hold Released Parties harmless from and against any third party claims, liabilities, damages, losses, costs and expenses, including attorneys' fees and costs, arising from or relating to this Contest or any Released Party’s use of the Submission in accordance with the rights granted herein. Released Parties are not responsible for lost, late, misdirected, damaged, stolen, altered, garbled, incorrect, incomplete, delayed or undelivered Submissions; all of which will be void. Released Parties are also not responsible for problems uploading or downloading any Contest-related information or materials from the Site or for any other technical malfunctions of electronic equipment, computer online systems, servers, or providers, computer hardware or software failures, phone lines, failure of any Submission to be received by Sponsor on account of technical problems, traffic, congestion on the internet or the Site, or for any other technical problems including telecommunication, miscommunication or failure, and failed, lost, delayed, incomplete, garbled or misdirected communications which may limit participant’s ability to participate in this Contest. Released Parties are not responsible for any other errors or malfunctions of any kind, whether network, printing, typographical, human or otherwise relating to or in connection with the Contest, including, without limitation, errors or malfunctions which may occur in connection with the administration of the Contest, the processing or judging of Submissions, the incorrect uploading of Submissions, the announcement of the Finalists or Grand Prize Winner or in any Contest-related materials. In the event of a dispute regarding online Submissions received from multiple users having the same e-mail account, the authorized subscriber of the e-mail account at the time of Submission will be deemed to be the participant and he/she must comply with these Terms & Conditions. Authorized subscriber is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), online service provider, or other organization responsible for assigning e-mail addresses. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the Submission process or the operation of this Contest or any website, intending to annoy, abuse, threaten or harass any other participant, Sponsor or any of its representatives or to otherwise be acting in violation of these Terms & Conditions and void all associated Submissions. Sponsor reserves the right to suspend, modify or cancel this Contest, or any participant’s participation in this Contest, at any time in its sole discretion if a computer virus, bug, non-authorized intervention or other problem corrupts the administration or security of this Contest, or for any other reason and, if this Contest is cancelled, to select the Finalists and/or Grand Prize Winner from among the non-suspect, eligible entries received during the Submission Period prior to the cancellation date using the selection procedure set forth herein. CAUTION: Any attempt by a participant to deliberately damage any website or undermine the legitimate operation of the Contest is a violation of criminal and civil laws. Should such an attempt be made, the Sponsor reserves the right to seek damages from any such participant to the fullest extent permitted by law and to disqualify such participant from the Contest.
